Within the Board, the Appointments and Remuneration Committee, the Internal Control Risk and Sustainability Committee and the Committee for approval of transactions with related parties were established.
Appointments and Remuneration Committeee
As expressly permitted by art. 3, Recommendation 16 of the Corporate Governance Code and considering that this unification is more efficient from an operational level for the performance of the functions assigned by the Code, the functions of the appointment committee and the remuneration committee have been merged into a single committee called "Appointments and Remuneration Committee”.
The functions relating to remuneration and appointment - albeit attributed to a single committee - remain distinct and clearly identified in accordance with art. 5, Recommendation 25, and art. 4 Recommendation 19.
The Board of Directors appointed as members of Appointments and Remuneration Committee:
- the Independent Director Daniele Discepolo (Chairman);
- the Independent Director Giovanni Barbara;
- the Independent Director Rosanna Ricci.
Internal Control Risk and Sustainability Committee
The Board of Directors of the Company, in compliance with the provisions of the Corporate Governance Code, has established an Internal Control Risk and Sustainability Committee comprising the Independent Directors.
The Board of Directors appointed as members of the Control & Risks Committee:
- the Independent Director Daniele Discepolo (Chairman);
- the Independent Director Anna Lucia Muserra;
- the Independent Director Giovanni Barbara.
Committee Related Party
Within the Board, the Committee for the approval of Related Party Dealings was established.
Said committee is made up exclusively of three Independent directors who must also be unrelated directors with regard to each transaction.
The Board of Directors appointed as members of the Committee Related Party:
- the Independent Director Rosanna Ricci (Chairman);
- the Independent Director Daniele Discepolo;
- the Independent Director Patrizia De Pasquale.
