Mantua, 18 April 2024 – Immsi said that the resignation of Alessandro Lai from the post of permanent Statutory Auditor of the Company, due to incompatibilities with his new role as an independent Director of Piaggio & C S.p.A., would take effect as from today. Mr Lai is replaced as permanent Statutory Auditor by alternate auditor Gianmarco Losi, whose curriculum vitae can be found on the Issuer's institutional website www.immsi.it (governance/organi-sociali/collegio-sindacale).
Also effective from today is the resignation of Paola Mignani from the post of independent Director of the Company, due to incompatibilities with her new role as an independent Director of Piaggio & C S.p.A. Ms Mignani was also a member of the Control Risks and Sustainability Committee, the Appointments and Remuneration Proposals Committee, and the Related-Party Transactions Committee.
To the extent known to the Company, Alessandro Lai directly and through his wife holds 96,360 Immsi shares; Ms Mignani and the new permanent Statutory Auditor Gianmarco Losi do not hold any Immsi shares.
On receiving the resignations, the Chair of Immsi, Matteo Colaninno, thanked Mr Lai and Ms Mignani for their important and positive contributions to the Company.
